These Terms of Use are an agreement between you and Memphre Labs LLC, doing business as Entouri (“Company,” “we,” “us,” or “our”) governing your access to and use of Entouri, including its website, web application, mobile experience and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
Entouri is a private recommendations service that helps registered users rate, organize and discover movies, television programs, books and other media using ratings and recommendations from people they follow and members of pods they join. Registered users may find and follow another registered user without that person’s approval, including people they do not personally know. The Service is not intended to be a public social-media platform, and profiles and content are not made available to logged-out visitors.
The Service is currently an invite-only beta for adults in the United States and in Canada outside the province of Quebec. It is a work in progress. Features may change, break, disappear or be reset. The Service may be unavailable, and data may be delayed, corrupted or lost. Do not rely on the Service as the only copy of anything important.
The Service is provided in English only. We do not offer the Service to residents of Quebec during the beta, and we do not provide French-language contractual documents or French-language support at this stage. If we later make the Service available in Quebec, we will provide a French version of these Terms and of the Privacy Policy before acceptance, together with French-language support.
We may modify, restrict, suspend or discontinue all or part of the beta at any time. Availability in a country or province does not mean that every feature is available there.
You must be at least 18 years old to create an account or use the Service. You must also reside in the United States or in Canada outside the province of Quebec. By creating an account, you confirm that you meet both requirements and are legally capable of entering into these Terms. If we reasonably believe an account belongs to someone under 18, or to a resident of a place where we do not offer the Service, we may close it and delete associated information.
You agree to provide accurate account information and keep it current. You are responsible for safeguarding your login credentials and for activity under your account. You may not share, sell, transfer or permit another person to use your account. Tell us promptly at Support@Entouri.com if you suspect unauthorized access. When you create an account, you provide your full name, a display name and an email address. Other registered users see your display name; your full name and email address are used only to help people find and follow you by full name or exact email address, and are not displayed to other users.
You may share a secure invitation link only with people you know and reasonably believe are at least 18 years old. You may not publish invitation links publicly or use them to send unsolicited, repeated, misleading, harassing or commercial messages.
During beta, the Company does not send invitations or reminder messages to invitees and does not collect an invitee’s email address before the invitee creates an account. The existing user sends the link personally through the user’s own email or messaging account.
We may send transactional and service communications concerning your account, email verification, password reset, security, privacy, legal terms and operation of the Service. Marketing messages, if introduced later, will be subject to separate consent and opt-out controls where required.
You may submit ratings, verdicts, notes, tags, lists, pod names, follows, preferences, feedback and other content through the Service (“User Content”). You retain ownership of your User Content.
You grant the Company a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, format, display, process, analyze and otherwise use User Content solely to operate, secure, maintain, personalize, improve and develop the Service, and to make it available according to the Service’s follow rules, genre settings and pod membership rules. We may sublicense these rights to service providers only as reasonably necessary for them to provide services to us.
This licence continues while the User Content is stored in the Service and for a reasonable period afterward in backups, security records or as otherwise described in the Privacy Policy. Licences relating to aggregated or de-identified information may continue indefinitely. You represent that you have the rights necessary to submit User Content and permit these uses.
Your display name, profile image, biography and other profile information may be visible to other registered users. Any registered user may search for other users by full name or exact email address and may choose to follow another registered user — including people they do not personally know — without that person’s approval. When you follow someone, you receive their ratings and recommendations for the relevant content type or genre. We do not notify you who follows you, and following relationships are not displayed to other users. Other registered users see your display name, not your full name or email address. If another user searches your exact email address, the Service may confirm that an account exists and return your display name, but it does not display your email address.
Your ratings, verdicts and notes may be displayed to registered users who follow you for the relevant content type or genre, and to members of a pod where the content appears. Pod members can see the membership and activity of that pod. Product rules, follow settings and pod membership determine visibility; you do not approve each follower individually.
Profiles and User Content are not intended to be visible to logged-out visitors. Other registered users who can see your information may remember, discuss, screenshot, export or otherwise use it outside the Service. We cannot control those actions. You may not post another person’s private, confidential or personal information unless you have the legal right and that person’s permission to do so.
The Service uses automated ranking and recommendation systems. Personalized recommendation functions are off by default. If you turn them on, the Service may use your ratings, saved items, follows, searches, activity and related information to create recommendation scores, preference profiles, inferred interests, similarity measures and ranking predictions.
You may turn personalized recommendations off again in Settings. When they are off, the Service may still provide search results, explicit filters, ratings from people you follow, pod activity and non-personalized lists, but it will not use your past activity to create a personalized ranking for you. Any stored derived preference profile will be deleted or reset as described in the Privacy Policy.
Recommendations are subjective, incomplete and may be inaccurate. The Service does not use these systems to make decisions that produce legal or similarly significant effects concerning you. Recommendations are for entertainment and discovery only.
During beta, we do not send identifiable User Content to a third-party general-purpose artificial-intelligence model and do not permit third parties to use identifiable User Content to train their general-purpose models.
If you provide ideas, suggestions, comments, bug reports or other feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use, reproduce, modify and incorporate that feedback without restriction or compensation. This does not transfer ownership of unrelated confidential materials you clearly identify as confidential before disclosure.
You agree not to: impersonate another person; provide false or misleading account information; harass, threaten, abuse or harm another person; submit unlawful, hateful, sexually exploitative, pornographic, defamatory, infringing or otherwise seriously objectionable content; expose another person’s private information; access or attempt to access another account or non-public data; probe, scan, attack, overload or disrupt the Service; upload malware or harmful code; scrape, crawl, copy or harvest data without permission; reverse engineer the Service except where applicable law expressly permits it; use the Service for unauthorized commercial purposes; use automated means to create accounts or interact with the Service; or use the Service or non-public outputs to build or train a competing product without written permission.
We may remove content, restrict visibility, limit invitations, suspend accounts or terminate access if we reasonably believe these Terms have been violated or action is needed to protect users, the Service or the Company. You can report another user or a review to us at Support@Entouri.com or through the in-app report option, and we may act on those reports as described above.
The Service, including its software, design, interfaces, branding, logos, rating structures, recommendation systems and materials, is owned by the Company or its licensors. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to use the Service for personal, non-commercial purposes.
The Service may display or link to third-party titles, descriptions, artwork, metadata, trademarks, websites or services. Third-party materials remain subject to the rights and terms of their owners and providers. We do not control or endorse all third-party content and are not responsible for its accuracy, legality, availability or practices.
Certain movie and television information is supplied through The Movie Database (TMDB). This product uses the TMDB API but is not endorsed or certified by TMDB. The Company does not claim ownership of third-party titles, artwork, descriptions or trademarks.
If you believe content available through the Service infringes your copyright, contact Support@Entouri.com with enough information for us to identify the work, locate the material and assess the claim. We may remove content and terminate repeat infringers where appropriate.
Our Privacy Policy explains how we collect, use, disclose, retain and protect personal information. By using the Service, you acknowledge the Privacy Policy. If you activate personalized recommendations, you also consent to the separate personalization notice and choice presented in the Service.
You may stop using the Service at any time and may request account deletion through the app or by contacting Support@Entouri.com. Deletion is handled as described in the Privacy Policy.
We may suspend or terminate access if you violate these Terms, create risk or legal exposure, misuse invitations, threaten security, or if we discontinue the Service. Where reasonable, we will provide notice, but immediate action may be necessary for safety or security.
We may make nonmaterial changes by posting an updated version and changing the effective date. For material changes, we will provide reasonable advance notice by email, in-app notice or another appropriate method. Where a change materially affects your rights or obligations, we may require affirmative acceptance before continued use.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR ACCURATE, OR THAT DATA WILL NOT BE LOST. RATINGS AND RECOMMENDATIONS ARE SUBJECTIVE, AND WE DO NOT GUARANTEE THAT YOU WILL LIKE OR BE ABLE TO ACCESS ANY RECOMMENDED MEDIA.
Nothing in these Terms excludes warranties, guarantees or rights that cannot lawfully be excluded, including mandatory consumer rights in your province, territory or state.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROFITS, GOODWILL OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
To the extent permitted by applicable law, you agree to indemnify and hold harmless the Company from third-party claims, damages, liabilities, costs and reasonable legal fees arising from your unlawful User Content, your material breach of these Terms or your intentional misuse of the Service. This section does not require a consumer to indemnify the Company for the Company’s own fault or for matters that applicable law does not permit us to shift to you.
These Terms are governed by the laws of the Commonwealth of Virginia and applicable United States federal law, without regard to conflict-of-law principles. However, nothing in these Terms limits non-waivable rights or protections available under the laws of the province, territory or state where you reside, including the privacy and consumer protections of your province or state.
Before filing a claim, please contact Support@Entouri.com and give us 30 days to try to resolve it informally, unless urgent relief is reasonably necessary. Subject to mandatory consumer law, disputes may be brought in the state or federal courts located in Alexandria, Virginia. Where applicable law gives you the right to bring a proceeding in your home jurisdiction, that right is preserved.
These Terms and the documents expressly incorporated into them are the entire agreement concerning the Service. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a financing, merger, reorganization, sale of assets or similar transaction. We are not liable for delay or failure caused by events beyond our reasonable control. Sections that by their nature should survive termination will survive, including User Content licences, intellectual property, disclaimers, liability limits, indemnity and dispute terms.
These Terms, the Privacy Policy and all related contractual documents are provided in English only. The Service is not offered in Quebec during the beta.
If we later offer the Service in Quebec, we will make a French version of these Terms and of the Privacy Policy available before acceptance, and we will not ask a Quebec resident to accept an English-language contract without first giving access to the French version.
